Hosted Pricing Changes and Carrier Services MSA Updates

I’d much rather be writing a notice about our awesome new conversational AI, or Teams Operator Connect, but, alas, I have the need to update you all on some changes to our contracts, and pricing structure for Hosted. 

We try to minimise these, and it’s been a long while since the last structural change. 

Sipcentric Limited – Hosted

In essence, what we are doing is:

  • Introducing a minimum spend of £250.00 on all Partner (hosted) accounts which are not Hybrid. For those with a legacy tail that come in under this, we have Dealer as a means by which to mitigate this, and have delayed the implementation until 1st October 2025 to provide time for our Partners to scale or migrate as needs be. 
  • As part of a wider strategy to roll-up parts of the Simwood Group, enabling Simwood eSMS Limited to be the billing and collections agent for Hosted.
  • All existing hosted accounts’ pricing will be grandfathered and deprecated. Other than the minimum spend, and an introduction of an overage on call recording storage (we have engineered it so the average user still gets 45 days free storage, and can still download for free), nothing else price wise is changing unilaterally. 

Alongside this, all new Partners will be on the new pricing, which was also published today. Any Partner can remain on the grandfathered/deprecated pricing if they choose, or opt to migrate to one of the new tiers. They are simplified relative to the legacy tariffs, with a clear progression of commitment leading to better pricing, and flexibility for us to craft tariffs at the top end to suit your business model. 

Officially, what we are changing in the MSA is as follows:

For Hosted, this is notice to the following changes to the Sipcentric Limited MSA (also known as the Partner Service Agreement, or Hosted Service Agreement) pursuant to clause 3 therein and effective 1st October 2025:

  • The Minimum Monthly Charge, shall be defined as “ £250.00 ex VAT, or as otherwise set out in the Partner Price List (as varied in accordance with this Agreement) or as otherwise agreed in writing by the parties.” 
  • The sale of handsets and other customer premises equipment, shall be governed by the Simwood Hardware Terms of Business, as amended from time, and published at simwood.com/msa

From 1st October 2025, call recording storage over the allowance indicated in the Partner Price List shall be charged in accordance with the overage rate in the Partner Price List, for all Partners. 

Further, Sipcentric Limited hereby appoints Simwood eSMS Limited as its billing and collections agent, for any items in the Partner Price List it determines at its sole discretion from time to time, concurrent with Sipcentric Limited. 

Simwood eSMS Limited – Carrier Services

For Carrier Services customers a few items of housekeeping that should not have a material impact in practice. We are clarifying what we mean by times of day for billing in the contract, away from the knowledgebase, widening a couple of definitions to reflect legislative reality, enabling the sale of hardware for carrier services customers, and making clear the due date on card payments. 

To that end, in accordance with clause 16 of the Simwood Master Services Agreement, effective from 1st September 2025:

  • The sale of handsets and other customer premises equipment, shall be governed by the Simwood Hardware Terms of Business, as amended from time, and published at simwood.com/msa
  • The due date for any invoice settled by credit or debit card shall be the date of the invoice unless otherwise agreed in writing by Simwood.
  • “Act” means the Communications Act 2003, or, as the context demands, any other relevant legislation that applies the Services. 
  • “General Conditions” shall mean the General Conditions of Entitlement, issued by the Office of Communications from time to time, or any other relevant regulatory instrument issued pursuant to its powers in the Act, relating to the Services. 
  • Time Band shall be defined as “Peak or Day shall mean 8am to 6pm, Monday to Friday, Weekend shall mean Saturday and Sunday, and Off Peak or Evening shall mean all other times. Calls in progress are rated for the entire duration based on the rate at the time the call was placed”
